WEBSITE TERMS OF USE AND PRIVACY STATEMENT

TERMS OF USE

This Terms of Use statement applies to the Website at www.iongeo.com and all pages within the site. This site is owned and operated by ION Geophysical Corporation and its affiliated companies (collectively, ION). You are advised to check each page you visit on or from this site to determine whether you have moved onto a third party site.

Your use of this Website will constitute your acceptance of these Terms of Use. Once accepted, these Terms of Use will constitute a binding agreement between ION and you governing your use of the site. If you are not willing to abide by these Terms of Use, do not access or use this site.

ION Geophysical Corporation has numerous affiliates, many with names that include "ION." For convenience and simplicity in this Website, those terms and terms such as corporation, company, our, we and its are sometimes used as abbreviated references to specific affiliates or affiliate groups. Nothing in this material is intended to override the corporate separateness of local entities. Abbreviated references describing global or regional operational organizations and global or regional business lines are also sometimes used for convenience and simplicity. Similarly, ION has business relationships with many customers, suppliers, governments, and others. For convenience and simplicity, words like venture, joint venture, partnership, co-venturer, and partner are used to indicate business relationships involving common activities and interests, and those words may not indicate precise legal relationships.

You agree, represent and warrant that any information you post to or transmit through the site is truthful, accurate, and not misleading and is offered in good faith, and that you have the right to post or transmit such information. Such information (including, without limitation, data, text, software, music, sound, photographs, graphics, video, messages or any other materials whatsoever), whether publicly posted or privately transmitted, is your sole responsibility.

F. Consequences of Unacceptable Use. We reserve the right in our sole discretion to suspend or terminate without notice your access to the site upon a direct or indirect violation or attempted violation of these Terms of Use. This right is in addition to any rights and remedies available to us by law or in equity.

G. Copyrights; Linking and Downloading. The material made available at this site is protected by copyright. No material from this site may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way without written permission of the copyright owner, except that you may download one copy of the materials on any single computer and produce one printed copy, in each case for your personal, noncommercial use only or in direct connection with your purchase or use of any ION products or services, provided you keep intact all copyright, trademark and other proprietary notices. Modification of the materials or use of the materials for any other purpose is a violation of ION's copyright and other proprietary rights. Permission for all other uses of materials contained in this site, including reproducing and distributing multiple copies, or linking to any page at this site except the "home page" (www.iongeo.com), must be obtained from ION in advance. For purposes of this Agreement, the use of any such material on any other Website or networked computer environment is prohibited. All design rights, databases and compilation and other intellectual property rights, in each case whether registered or unregistered, and related goodwill are proprietary to ION.

In the event you download software from this site, the software, including any files, images incorporated in or generated by the software, and data accompanying the software (collectively, the "Software") are licensed to you by ION. ION does not transfer title to the Software to you. You may own the medium on which the Software is recorded, but ION retains full and complete title to the Software and all intellectual property rights in the Software. You may not redistribute, sell, decompile, reverse engineer, disassemble or otherwise reduce the Software to a human-perceivable form, except to the extent permitted by applicable law and upon giving ION prior written notice of such activities.

I. Trademarks. All trademarks, service marks, logos and trade names, whether registered or unregistered, are proprietary to ION or to other companies where so indicated. You may not reproduce, download or otherwise use any such trademarks, service marks, logos or trade names without the prior written consent of the appropriate owner thereof. Some jurisdictions may not allow the exclusion of implied warranties, so the above limitations and exclusions may not apply to you.

4. Limitation of Liability

YOUR USE OF THIS SITE IS AT YOUR OWN RISK. TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL ION, OR ANY OF ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, AGENTS OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITE, BE LIABLE FOR ANY COMPENSATORY, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THIS SITE OR THE CONTENT OF THIS SITE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF ION OR AN ION-AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Applicable law may not allow the limitation or exclusion of liability or incidental or consequential damages, and so to that extent the above limitation or exclusion may not apply to you. If you are dissatisfied with any portion of the site or the content on the site or with any of these terms, your sole and exclusive remedy is to discontinue using the site and the content on the site. In no event shall ION's total liability to you for all damages, losses, and causes of action (whether in contract, tort (including, but not limited to, negligence) or otherwise) exceed the amount paid by you to ION, if any, for accessing this site.

5. Disclosure; Forward-Looking Statements

This site and the contents and materials in this site contain certain forward-looking statements within the meaning of Section 27A of the Securities Act of 1933 and Section 21E of the Securities Exchange Act of 1934. These forward-looking statements include statements as to expectations, beliefs and future financial performance, such as statements concerning future sales and market growth, future business prospects, future cash needs, future financial results, future sources of cash, and other statements that are not of historical fact. Actual results may vary materially from those described in these forward-looking statements. All forward-looking statements reflect numerous assumptions and involve a number of risks and uncertainties, many of which ION is unable to predict or control, that may cause actual results or performance to materially differ from any future results or performance expressed or implied. These risks and uncertainties include risks of audit adjustments and other modifications to ION's financial statements not currently foreseen; risks associated with the timing and development of ION's products and services and market acceptance of ION's new and revised product offerings; risks associated with economic downturns and volatile credit environments; risks associated with the performance of ION affiliates and joint ventures; risks associated with ION's level of indebtedness, including compliance with debt covenants; risks associated with competitors' product offerings and pricing pressures resulting therefrom; risks that sources of capital may not prove adequate; risks related to collection of receivables; risks associated with pending litigation; and risks related to technological and marketplace changes affecting ION's product line. These risks and uncertainties also include additional risk factors, which could affect actual results, disclosed by ION from time to time in its filings with the Securities and Exchange Commission, including its Annual Reports on Form 10-K and its Quarterly Reports on Form 10-Q. Unless legally required, ION undertakes no obligation to update publicly any forward-looking statements, whether as a result of new information, future events or otherwise.

6. Stock Quotes

Where stock market quotes are provided on this Website, such data is provided for information purposes only and is not intended for trading purposes. Neither ION nor any of its data or content providers shall be liable for any errors or delays in the content, or for any actions taken in reliance on the content.

7. Indemnity

You agree to indemnify, defend and hold ION and its affiliates and any of its and their directors, employees, agents and contractors harmless from and against any and all claims, damages, demands, causes of action, debts, losses, liabilities, costs (including, without limitation, reasonable attorneys' fees) or other expenses that directly or indirectly arise out of, is based upon, or relates to your violation, or violation by any other person using your password or account, of the terms and conditions of this agreement and/or your activities in connection with this site.

8. Applicable Law and Dispute Resolution

This agreement, these Terms of Use and your use of this site shall be governed by and construed in accordance with the laws of the State of Texas, and, to the extent controlling, federal laws of the United States of America, without reference to principles of conflicts of laws. By using this site, you hereby: (i) designate the courts of Texas as the exclusive court of proper jurisdiction and venue of and for any and all lawsuits or other legal proceedings relating to this agreement, these Terms of Use or your use of this site and (ii) irrevocably consent to such designation, jurisdiction and venue. If legal proceedings are instituted by ION to enforce any provision of this agreement, ION will be entitled to recover its reasonable attorneys' fees, court costs and ancillary expenses from you. If any provision of this agreement shall be determined to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions. This is the entire agreement between the parties relating to the subject matter herein and may not be modified by you unless in a written agreement signed by ION.

9. Termination

This agreement is effective until terminated by either party. You may terminate this agreement at any time by ceasing use of this site and destroying all materials obtained from this site and all related documentation and all copies and installations thereof, whether made under the terms of this agreement or otherwise. Your right to access this site will terminate immediately without notice from ION if in ION's sole discretion you fail to comply with any term or provision of this agreement. Upon termination, you must destroy all materials obtained from this site and all copies thereof, whether made under the terms of this agreement or otherwise. The provisions of these Terms of Use shall survive any termination of this agreement. The termination of this agreement shall in no way relieve either party from any liability or obligation that, at the time of such termination, had already accrued to either party or which is attributable to a period prior to such expiration or termination or which, by its terms, is required to survive the termination of this agreement. Likewise, the termination of this agreement shall in no way preclude either party from pursuing any rights and remedies it may have under this agreement at law or in equity that accrued or are based upon any event occurring prior to such termination.

If you choose to visit our site, your visit and any dispute over privacy is subject to this Privacy Statement and our Website Terms of Use, including any disclaimers, limitations on damages, dispute resolution and application of law provisions. We reserve the right to change this statement at any time without notice except as otherwise provided herein.

1. Data Collection

A. Data Collected Directly from Visitors. In most instances, you can visit our site without providing any personal data. However, on some pages, we may ask you for personal data to provide a service or carry out a transaction requested by you. The personal data that we collect may include:

  • Contact details, such as your name, title, company/organization name, e-mail address, telephone and fax numbers, physical address, etc.;
  • Information about your company and job position;
  • Your preferences with respect to e-mail marketing;
  • Financial information (including credit card numbers, bank or customer account information, and, in connection with credit requests, Social Security Number or other national/tax identification number);

  • Contest entry and event registration information; or
  • Feedback from you about our products and services (including our Website).

You are not required to provide this information. However, if you choose not to, please be aware that we may not be able to provide you the requested service or complete your transaction.

B. Data Collected Automatically. We collect certain data about all visitors to our Website, including what pages they view, the number of bytes transferred, the links they click, and other actions taken within our site. If you log-on to our site or to any pages in our site, we may connect this information with your identity to determine your potential interests in our products and services. We may also use this information to improve our security measures. We also collect certain standard information that your browser sends to every Website you visit, such as your Internet Protocol (IP) address, your browser type and capabilities and language, your operating system, the date and time you access the site, and the Website from which you linked to our site. We do not link these data to your identity.

2. Our Use of Your Personal Data

We will use your personal data only for the purposes set forth below.

A. Services and Transactions. We use your personal data to deliver services or execute transactions you request, such as providing information about ION products and services, processing orders, answering customer service requests, facilitating use of our Website, and similar purposes. In order to offer you a more consistent experience in interacting with ION, information collected by our site may be combined with information we collect by other means.

B. Website Improvement. We may use your data to improve our site (including our security measures) and related products or services, or to make our site easier to use by eliminating the need for you to repeatedly enter the same information or by customizing our site to your particular preference or interests.

C. Marketing Communications. We may use your data to inform you of products or services available from ION. D. Employment Applications. In connection with a job application or inquiry, you may choose to provide us with data about yourself, including your educational background, resume or curriculum vitae, and other information, including your ethnicity where required or permitted by law. We may use this information throughout ION, its subsidiaries, affiliates and joint ventures for the purpose of employment consideration. We will keep the information for future consideration unless you direct us not to do so.

3. Our Use of Cookies and Web Beacons

Cookies are small files that Websites save to your hard disk or to your browser's memory. Our Website may use cookies to track the number of times you have visited the site, to track the number of visitors to the site, to determine and analyze visitors' use of our site, to store data that you provide such as your preferences and e-mail address, and to store technical information related to your interactions with our site. We may also use session cookies (which are deleted when you close your browser) to store your user ID, to facilitate your movement around our site (particularly in connection with information searches and order placement) and other information useful in administering the session.

Most Internet browsers automatically accept cookies, but you can usually modify your browser settings to decline cookies or to notify you when a cookie is being placed on your computer. If you choose not to accept cookies, you may not be able to experience all of the features of our Website. Internet browsers also enable you to delete existing cookies, although this means that your existing settings (including stored user IDs and other preferences) will be lost.

Our site also may contain electronic images known as web beacons - sometimes called single-pixel gifs - that allow us to count the number of users who have visited those pages. We may include web beacons in promotional e-mail messages or newsletters in order to determine whether messages have been opened and acted upon (including whether the recipient clicked on a link in the email or forwarded the email to another person).

4. Disclosure of your Personal Data

Except as described below, personal data that you provide to ION via our Website will not be shared outside of ION, its subsidiaries, affiliates and joint ventures without your consent.

A. Disclosure to Service Providers. ION contracts with other companies to provide services on our behalf, such as hosting Websites, sending out information, processing transactions, and analyzing our Website. We provide these companies with only those elements of your personal data they need to deliver those services. These companies and their employees are prohibited from using the personal data for any other purposes.

In addition, communicating via the Internet and sending information, products, and services to you by other means necessarily involves your personal data passing through or being handled by third-parties, but ION does not sell or distribute your personal data to third parties for purposes of allowing them to market their products and services to you.

B. Disclosure in Connection with Transactions. In connection with certain transactions, we may disclose some or all of your personal data to financial institutions, government entities, and shipping companies or postal services involved in fulfilling the transaction.

C. Disclosure in Connection with Acquisitions or Divestitures. Circumstances may arise where for strategic or other business reasons ION decides to sell, buy, merge or otherwise reorganize particular businesses. Such a transaction may involve the disclosure of personal data to prospective or actual purchasers, or receiving it from sellers. It is ION's practice to seek appropriate protection for information in these types of transactions.

D. Disclosure on Collaborative Websites. Some portions of our Website promote collaboration among registered users with respect to a particular area or topic. In those areas, we may share your username with other participants to label comments or suggestions that you make as yours. We do not, however, share your name, contact details, or other personal data with other users of those collaborative areas.

E. Disclosure for Other Reasons. We may disclose personal data if required to do so by law or in the good-faith belief that such action is necessary to comply with legal requirements or with legal process served on us, to protect and defend our rights or property, to enforce this agreement and Terms of Use, or in urgent circumstances to protect the personal safety of any individual.

5. Security

ION is committed to protecting the security of your personal data. We use a variety of security technologies and procedures to help protect your personal data from unauthorized access, use, or disclosure. For example, we store the personal data you provide on computer systems with limited access that are located in facilities to which access is limited. When you move around a site to which you have logged in, or from one site to another that uses the same log-in mechanism, we verify your identity by means of an encrypted cookie placed on your machine. When you place an order with us, view account information, or provide financial information, we protect the transmission of such data using Secure Socket Layer (SSL) encryption.

For sites to which you log-in, it is your responsibility to ensure the security of your password and not to reveal this information to others. If you are sharing a computer with anyone, you should always log-out before leaving a Website so that subsequent users will not be able to access your data.

6. Reviewing your Personal Data

In some cases, you can review and correct personal data provided through our Website by going to the page on which you provided the data. You can always make a request to review and correct your personal data collected via our Website by contacting us. We may take steps to verify your identity before providing you access to your personal data. You can help us to keep your data accurate by notifying us of any change to your mailing address, phone number, or e-mail address.

7. International Transfers of Personal Data

Personal data collected on our Website may be stored and processed in the United States or any other country in which ION or its subsidiaries, affiliates, or joint ventures maintain facilities. Personal data may be transferred among ION's various divisions and affiliated companies around the world, which may involve transfer from countries within the European Economic Area to countries outside the European Economic Area. By choosing to use our site and to provide data to it, you consent to any such transfer of information outside of your country.

8. Links to Other Websites

Our Website may contain links to other Websites, including those of other companies, professional and government organizations, and publications. While we try to link only to Websites that share our high standards and respect for privacy, we do not control and are not responsible for the content, security, or privacy practices employed by other Websites. You should review the privacy statements of those Websites to determine how they protect and use your personal data.
